Important: YPMC Agent is deployed within each Client's own technology environment. YPMC does not store, access, or process end-user personal data or protected health information (PHI) on its own infrastructure. All case data remains within the Client's controlled environment.

Terms of Service

These Terms of Service ("Terms") govern your access to and use of the YPMC Agent platform provided by YPMC Media LLC ("YPMC," "we," "us"). By accessing or using our services, you agree to be bound by these Terms.

1. Services

YPMC provides an AI-powered legal case management platform ("YPMC Agent") deployed within Client-controlled technology environments. Services include software deployment, configuration, maintenance, and support as specified in each Client's service agreement.

2. Eligibility

YPMC Agent is available exclusively to businesses, law firms, and legal service organizations. By using our services, you represent that you are authorized to enter into this agreement on behalf of your organization.

3. License

Subject to these Terms and your service agreement, YPMC grants you a limited, non-exclusive, non-transferable license to use YPMC Agent solely for your internal business operations. You may not:

Fees are as specified in your service agreement. Invoices are due within 30 days of issuance. YPMC reserves the right to suspend services for accounts more than 30 days past due. All fees are non-refundable except as required by law.

Each party agrees to maintain the confidentiality of the other's proprietary information. You acknowledge that the YPMC Agent software, architecture, prompts, and implementation details constitute trade secrets of YPMC Media LLC and must be kept strictly confidential.

9. Disclaimer of warranties

YPMC Agent is provided "as is" without warranties of any kind, express or implied. YPMC does not warrant that the service will be uninterrupted, error-free, or meet your specific requirements. AI-generated content should be reviewed by qualified professionals before use.

10. Limitation of liability

To the maximum extent permitted by law, YPMC's total liability shall not exceed the fees paid by you in the three months preceding the claim. YPMC shall not be liable for indirect, incidental, special, or consequential damages.

11. Termination

Either party may terminate the service agreement with 30 days written notice. YPMC may terminate immediately for material breach. Upon termination, your license to use YPMC Agent ends and you must cease all use of the software.

12. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Disputes shall be resolved in the courts of Texas.
